NOTICE OF ANNUAL GENERAL MEETING

MONDAY, APRIL 23rd, 2018

7:00 PM AT THE PRESTIGE HOTEL

FRENCH BEACH SALON –LEVEL ONE

Up for re-election: VP, Treasurer and 11 Directors to fill various positions.

Please send all nominations to the Chair of the Nomination Committee, Dee Vivian, at president@sookeminorhockey.ca.

All those in attendance will be entered to win a free hockey registration for this upcoming season. Limit of one entry per family.

General Business: Special Resolutions

Special Resolution #1

Be it resolved by special resolution that the Constitution of the Sooke & District Minor Hockey Association be repealed and that it be replaced with the attached proposed Constitution.

Background:

The new B.C. Societies Act sets out what must be in the constitution of a society. The Act limits a constitution’s contents to the society’s name and its purposes. The present constitution listed these provisions; however, it also had an unalterable provision dealing with the winding up or dissolution of the society. This unalterable provision has been struck from the proposed new constitution and inserted in the Society’s proposed new bylaws as permitted for under the transitioning process to the new Act.

Special Resolution #2

Be it resolved by special resolution that the Bylaws of the Sooke & District Minor Hockey Association be repealed and that they be replaced with the attached set of proposed Bylaws. The new Bylaws shall take effect when the Association’s transition application has been accepted by the B.C. Registrar of Companies.

Background:

Transitioning over to the new B.C. Societies Act represented an opportune time for the Association to thoroughly review its Bylaws. Rather than amend or refine its existing set of Bylaws, the current executive committee chose to craft an entirely new set. Accordingly, the proposed new bylaws:

  1. remove bylaws which are no longer in use or no longer have relevance;
  2. align with the new Act;
  3. fit with the new or emerging needs of the Association; and
  4. enable the Association to enact policies and policy amendments at the board level to facilitate both consistency and adaptability within its governance framework.
